Terms and Conditions of Service

2. Account requirements

• You must provide accurate information and keep credentials, devices and any optional API keys secure.
• You must be at least 16 to create an account, in every country (GDPR Art. 8; the Italian threshold under Art. 2-quinquies of the Privacy Code is 14, but we apply the highest one set in the European Union). The service is designed for university students; if you are under 18, purchases require the involvement of a parent or guardian.
• If you use an account for a school, company or organization, you confirm that you have the necessary authority.
• If you suspect unauthorized access, contact support immediately and revoke any compromised personal provider keys at the provider.

3. Plans, limits and payments

Current prices: Student €7.99/month or €59.99/year; Pass Sessione €19.90 for 60 days, one-time payment. The total price, period and renewal shown before payment must match Stripe Checkout.

Payments are handled by Stripe. Memoniq does not store full card data. Student is a recurring subscription and renews automatically until cancelled through the Stripe portal or account settings. The Pass Sessione is a one-time payment: it expires after 60 days and does not renew.

Lifetime. The Lifetime plan costs €299 once (€249 for the first 200 purchases), once it can be purchased, up to a total of 500 seats; once that cap is reached, the plan may be closed or reopened at a different price. "Forever" means for as long as Memoniq operates as a service: it is not a guarantee of how long the service will run. Access is personal and non-transferable, tied to one account, and includes the Student plan's software features, including future features of the same level, plus brand removal from videos and priority support. Memoniq AI is included in the plan within fair-use limits, same as the Student plan: the Lifetime plan does not guarantee any minimum amount of AI or the use of a specific model or provider, which Memoniq chooses and may change over time. Fair-use limits apply to protect the service, including a maximum number of notebooks. It cannot be combined with the Founding discount. A refund within 14 days returns the account to the Free plan. If Memoniq were to discontinue the service within 36 months of purchase, Lifetime buyers are entitled to a pro-rata refund calculated over a 60-month reference period (e.g. discontinuing at month 12 refunds 48/60 of the price paid), plus the ability to export their data before shutdown.

Limits protect service quality, costs and security and may be updated with reasonable notice for material changes.

4. Managed AI, optional provider keys and local models

• Memoniq may provide managed AI defaults using server-side provider keys. Access is controlled by authentication, plan limits and rate limits.
• For personal provider keys, Memoniq is not responsible for costs, suspensions, quota, policies or price changes by external providers.
• Keys are encrypted in the database and used server-side only to execute requested features. For security, they are not included in plaintext data exports.
• The user must comply with the terms, licenses and policies of any configured provider.
• With local models, localhost endpoints or local TTS, the user is responsible for configuration, security and device resources.

6. Acceptable and prohibited use

You may use Memoniq for:

• Personal study, revision, exam preparation, creating your own materials and non-commercial sharing through app features.
• Exporting PDF/DOCX/PPTX/Anki within plan limits and within your rights over source materials.

You may not:

• Upload materials you do not have rights to use or distribute.
• Use the service for plagiarism, academic fraud, impersonation, malware, phishing, scraping, spam or illegal/discriminatory content.
• Circumvent limits, rate limits, feature gates, watermarks, security controls or access controls.
• Bulk-resell generated content, create note marketplaces or automate extraction without written authorization.
• Upload unlawful content, third-party personal data without a legal basis, or data that identifies patients (names, initials with dates, record numbers, images showing patient details): anonymise clinical cases and examples before uploading.
• Clone or imitate another person’s voice: voice cloning features, where available, may only be used with your own voice and your own explicit consent.
• Use AI-generated scores, feedback or assessments to evaluate other people (students, candidates, employees) or in exams, admissions or formal assessments: they are self-study estimates, not grades.

7. Intellectual property

• The user retains rights to their original materials and grants Memoniq a limited technical license to process them and provide the service.
• Memoniq software, design, workflows, proprietary prompts, trademarks and infrastructure remain the Provider's property.
• Generated content may be used for personal study and, if allowed by the plan, shared for free. Sale or commercial redistribution requires written consent.
• Watermarks, attribution and service identifiers must not be removed unless the plan provides that feature.

8. Sharing, exports and publication

Shared links are read-only views of the selected stored material. They reflect changes to that material and remain accessible to anyone with the link until revoked. The user is responsible for not sharing confidential information or copyrighted materials.

Exports may include metadata, watermarks or references to Memoniq. External publication remains the user's responsibility.

If you publish videos, audio, images or text exported from Memoniq (for example on social media, YouTube or websites), you must clearly disclose that they are AI-generated or AI-modified and that the narration voice is synthetic, as required of deployers by Art. 50(4) of Regulation (EU) 2024/1689 (AI Act) and by platform rules. Do not remove the AI notice or the provenance metadata included in the files.

If you import from YouTube, you authorize Memoniq to use the selected video URL, transcript and source metadata only to create requested study materials. You can revoke any connected Google access from your Google account.

9. Withdrawal, cancellation and refunds

Satisfaction guarantee: within 14 days of your first payment you can request a full refund of the subscription or Session Pass directly from Settings, without contacting anyone. The refund covers the first payment (not later renewals) and returns the account to the Free plan. Statutory withdrawal rights and legal guarantees remain unaffected.

You may cancel the subscription at any time through the Stripe portal. Premium features remain active until the end of the already paid period, unless refunded or suspended for violation.

Satisfaction guarantee within 14 days. Request the refund from Settings > Plan with the "Request refund" button: we only ask for the reason, to improve the product. The amount goes back to your payment method within 5-10 business days and the account returns to the Free plan. It covers the first payment of the subscription, the Session Pass or the Lifetime plan; later renewals are not covered, but you can cancel renewal at any time.

This guarantee is in addition to your statutory consumer rights, which remain unaffected. To exercise them or for any problem with a refund, contact infomemoniq@gmail.com. Cancelling renewal does not itself entitle you to a refund.

10. Availability and changes

The service is provided "as is" and "as available". AI, TTS, storage, payments, Google/YouTube, image and transcription features also depend on third-party providers.

We may modify, suspend or remove features for maintenance, security, costs, quality, legal requirements or provider changes.

11. Suspension and account closure

We may suspend or close accounts that violate these Terms, compromise security or abuse the service. Users may delete their account from settings; deletion removes or anonymizes data according to the Privacy Policy.

12. Illegal content reports

To report publicly shared content that you believe is illegal, write to infomemoniq@gmail.com with the URL, reason, context and contact details.

We will assess reports within a reasonable time and may remove content, disable links or request additional information.

13. Liability

To the extent permitted by law, Memoniq is not liable for indirect losses, academic outcomes, decisions based on AI content, third-party provider unavailability, user API costs or unauthorized use of uploaded materials.
