Terms and Conditions of Service
The rules for using Memoniq, including AI limits, BYOK keys, subscriptions, sharing and acceptable use.

1. Provider and scope
Memoniq is provided by Roberto Coscia, Italy. Contact: infomemoniq@gmail.com.
The service is an AI-assisted study web platform for creating summaries, flashcards, quizzes, mind maps, podcasts, lesson mode, voice sessions, exports and sharing links from user-uploaded materials.
By using Memoniq you accept these Terms and the Privacy Policy.
2. Account requirements
- You must provide accurate information and keep credentials, devices and API keys secure.
- The service is designed for university students and adult or authorized users. It is not directed to children under 13.
- If you use an account for a school, company or organization, you confirm that you have the necessary authority.
- If you suspect unauthorized access, contact support immediately and revoke compromised keys at the provider.
3. Plans, limits and payments

Current prices: Student EUR 7.99/month or EUR 59.99/year; Pro EUR 14.99/month or EUR 129.99/year. Prices shown in the checkout interface prevail if different.
Payments are handled by Stripe. Memoniq does not store full card data. Subscriptions renew automatically until cancelled through the Stripe portal or account settings.
Limits protect service quality, costs and security and may be updated with reasonable notice for material changes.
4. BYOK, external providers and local models
- BYOK means Bring Your Own Key: the user provides and pays for any API keys for OpenRouter, Google, Groq, OpenAI or other selected providers.
- Memoniq does not resell API traffic and is not responsible for costs, suspensions, quota, policies or price changes by external providers.
- Keys are encrypted in the database and used server-side only to execute requested features. For security, they are not included in plaintext data exports.
- The user must comply with the terms, licenses and policies of any configured provider.
- With local models, localhost endpoints or local TTS, the user is responsible for configuration, security and device resources.
5. Nature of AI content
- Memoniq is a study support tool, not an official source or academic assessment.
- AI content may be incomplete, incorrect, outdated or affected by the quality of uploaded sources.
- Grades, scores, oral exam feedback and mastery are educational estimates and do not certify competence.
- Do not use Memoniq as a substitute for medical, legal, financial, professional advice or official course instructions.
- The user must verify accuracy, citations, copyright and suitability before using or sharing generated content.
6. Acceptable and prohibited use
You may use Memoniq for:
- Personal study, revision, exam preparation, creating your own materials and non-commercial sharing through app features.
- Exporting PDF/DOCX/PPTX/Anki/video within plan limits and within your rights over source materials.
You may not:
- Upload materials you do not have rights to use or distribute.
- Use the service for plagiarism, academic fraud, impersonation, malware, phishing, scraping, spam or illegal/discriminatory content.
- Circumvent limits, rate limits, feature gates, watermarks, security controls or access controls.
- Bulk-resell generated content, create note marketplaces or automate extraction without written authorization.
- Upload highly sensitive data or third-party data without a lawful basis and authorization.
7. Intellectual property
- The user retains rights to their original materials and grants Memoniq a limited technical license to process them and provide the service.
- Memoniq software, design, workflows, proprietary prompts, trademarks and infrastructure remain the Provider's property.
- Generated content may be used for personal study and, if allowed by the plan, shared for free. Sale or commercial redistribution requires written consent.
- Watermarks, attribution and service identifiers must not be removed unless the plan provides that feature.
8. Sharing, exports and publication
Shared links are read-only snapshots accessible to anyone with the link. The user is responsible for not sharing confidential information or copyrighted materials.
Exports may include metadata, watermarks or references to Memoniq. External publication remains the user's responsibility.
If you connect YouTube, you authorize Memoniq to use the granted permissions only for the requested function, such as private upload or metadata configuration. You can revoke access from your Google account.
9. Withdrawal, cancellation and refunds
EU consumer users may exercise withdrawal rights within 14 days of purchase within the limits of applicable law. If you request immediate performance of digital content or services, some withdrawal rights may be limited under applicable law.
You may cancel the subscription at any time through the Stripe portal. Premium features remain active until the end of the already paid period, unless refunded or suspended for violation.
After the withdrawal period, no automatic or partial refunds are provided for unused time. We may evaluate refunds for serious, documented malfunctions attributable to Memoniq that make premium features substantially unusable for more than 72 continuous hours.
10. Availability and changes
The service is provided "as is" and "as available". AI, TTS, storage, payments, Google/YouTube, image and transcription features also depend on third-party providers.
We may modify, suspend or remove features for maintenance, security, costs, quality, legal requirements or provider changes.
11. Suspension and account closure
We may suspend or close accounts that violate these Terms, compromise security or abuse the service. Users may delete their account from settings; deletion removes or anonymizes data according to the Privacy Policy.
12. Illegal content reports
To report publicly shared content that you believe is illegal, write to infomemoniq@gmail.com with the URL, reason, context and contact details.
We will assess reports within a reasonable time and may remove content, disable links or request additional information.
13. Liability
To the extent permitted by law, Memoniq is not liable for indirect losses, academic outcomes, decisions based on AI content, third-party provider unavailability, user API costs or unauthorized use of uploaded materials.
14. Governing law, language and changes
These Terms are governed by Italian law. Mandatory consumer forums under applicable law remain unaffected.
If versions differ, the Italian version prevails. We may update the Terms by publishing a new date; for material changes we will use reasonable notice when possible.
